iWorQ Data Upload Form

The Customer will receive one (1) data import based on the files and data provided to iWorQ. All data intended for conversion or import for a module must be provided in a single, complete submission. Incremental or partial data deliveries for the same module will not be accepted and may cause project delays, suspension of the import process, or additional service fees.

All data for conversion or import shall be provided as a database backup file or as tabular flat files.

iWorQ may, at its discretion, perform an additional final import if deemed appropriate. Additional imports or revisions requested after the go-live date will be subject to additional fees and processing timelines.

The Review and Acceptance Period begins upon completion of the data import up to and excluding one (1) week or five (5) business days prior to the go-live date. During this period, the Customer shall review the imported data and submit any corrections or feedback.

If iWorQ determines that a final import is appropriate, it will only be performed after the import configuration has been explicitly accepted.

If no feedback or corrections are received within the Review and Acceptance Period:

• The import configuration will be deemed accepted, and implementation will continue as scheduled toward the go-live date.
• A final import of all records may still occur, but no changes will be made to the import configuration.
• Corrections or feedback received after the Review and Acceptance Period may be treated as a new request and subject to additional fees and processing timelines.
• iWorQ shall not be responsible for any data inaccuracies, omissions, or unverified data that could have been identified during the review period.

The Customer is solely responsible for verifying the completeness and accuracy of all data provided for conversion or import. iWorQ is not responsible for cleaning, correcting, or validating Customer data, nor for inaccuracies, omissions, or corrupted data originating from the Customer's source files or other systems.

The Customer agrees to notify iWorQ in advance if any data provided for conversion or import contains Personally Identifiable Information (PII) or other sensitive data including but not limited to Social Security numbers, driver's license information, or credit card information so that such data can be handled and converted appropriately.

• iWorQ will not be responsible for reviewing or searching files to determine whether PII or other sensitive data is present. The Customer is solely responsible for identifying and disclosing any PII prior to submission.
• If the Customer notifies iWorQ that PII or sensitive data is included, all files will be uploaded to iWorQ's secure location. The Customer is responsible for providing such data securely and verifying successful upload.
• If no PII is present or iWorQ is not notified, files will be uploaded to the standard upload location. iWorQ's data team will verify upload only in this standard location.
• Any PII or sensitive data tracked within structured fields will not be imported into the iWorQ system, even if such data is provided by the Customer.
• Any PII or sensitive information incorrectly uploaded to the standard upload location is the sole legal responsibility of the Customer, including compliance with all applicable privacy or regulatory requirements.
• The Customer acknowledges that iWorQ will process data according to the information provided and upload location determined by notification or discovery. Failure to notify iWorQ of PII or sensitive data does not transfer responsibility to liability to iWorQ.

iWorQ shall not be held liable for any direct or indirect loss, damage, or claim arising from:

• The Customer's failure to comply with these terms, or
• Inaccuracies, omissions, or corrupted data originating from the Customer's source files.
